SEATIUM TERMS
OF SERVICE.

PLEASE READ THESE TERMS CAREFULLY. These Terms of Service constitute a legally binding agreement between you and Aethyra LLC ("Aethyra," "we," "us," or "our"), the owner and operator of the Seatium platform. By accessing or using Seatium in any way, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Seatium website, web application, mobile application, and any related services (collectively, the "Platform"), operated by Aethyra LLC, a limited liability company. By creating an account, purchasing tickets, browsing the Platform, or otherwise accessing or using the Platform in any manner, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" include both you individually and that entity.

Definitions

For the purposes of these Terms:

  • "Platform" means the Seatium website, web application, mobile application, APIs, and all related services provided by Aethyra LLC.
  • "User" means any individual who accesses or uses the Platform, including Attendees, Organizers, and Guest Purchasers.
  • "Attendee" means a User who purchases or holds tickets to events listed on the Platform.
  • "Organizer" means a User who creates an organizer account and uses the Platform to create, list, manage, and sell tickets to events.
  • "Guest Purchaser" means an individual who completes a ticket purchase without creating an account on the Platform.
  • "Event" means any event, show, concert, festival, gathering, or other occurrence listed by an Organizer on the Platform.
  • "Ticket" means a digital admission credential (including a QR code) issued by the Platform upon successful purchase, granting the holder access to a specific Event.
  • "Organization" means the organizer entity profile created within the Platform to represent a venue, promoter, or event production company.
  • "Platform Fee" means the service fee charged by Aethyra LLC on each paid ticket transaction, as further described in Section 9.
  • "Content" means any text, images, graphics, data, or other material submitted to or displayed on the Platform.
  • "Stripe" means Stripe, Inc., the third-party payment processor used by the Platform.

Eligibility

To use the Platform, you must:

  • Be at least 18 years of age, or at least 13 years of age with the express consent and active supervision of a parent or legal guardian who agrees to these Terms on your behalf and accepts full responsibility for your use of the Platform;
  • Have the legal capacity to enter into a binding contract under applicable law;
  • Not be prohibited from using the Platform under any applicable law, including being listed on any U.S. government denied-party list; and
  • Provide accurate, complete, and current information at all times.

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone at any time, for any reason, to the extent permitted by law.

Account Registration & Security

To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate and complete information, including a valid email address, and to keep this information current.

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activity that occurs under your account, whether or not authorized by you. You agree to immediately notify us at info@seatium.co of any unauthorized access to or use of your account.

You may not: (a) create an account using false or fraudulent information; (b) create more than one account per person without our express written consent; (c) allow others to use your account; or (d) purchase, transfer, or sell your account to another party.

We will never ask for your password in an unsolicited communication. You are solely responsible for all activity on your account. Aethyra LLC is not liable for any loss or damage arising from your failure to maintain the security of your credentials.

Organizer Accounts

To create and sell tickets to events on the Platform, you must register as an Organizer and complete the onboarding process, which includes creating an Organization profile and connecting a Stripe payout account via Stripe Connect. By doing so, you agree to Stripe's Connected Account Agreement and Stripe's Services Agreement, in addition to these Terms.

By becoming an Organizer, you represent, warrant, and agree that:

  • All information you provide in connection with your Organization profile and Stripe account is accurate and truthful;
  • You have the legal right and authority to host and sell tickets to the Events you list;
  • Your Events and the manner in which they are conducted will comply with all applicable federal, state, and local laws, regulations, permits, and ordinances, including those related to public assembly, alcohol service, fire safety, and venue capacity;
  • You will clearly and accurately describe each Event, including its date, time, location, age restrictions, and any material terms affecting attendance;
  • You will honor all valid tickets purchased through the Platform and provide the experience described in your Event listing;
  • You are solely responsible for the conduct, safety, and management of your Events, including the actions of your staff, vendors, and contractors; and
  • You will not use the Platform to commit fraud, deceive attendees, or list Events that are fictitious, misleading, or prohibited under applicable law.

Aethyra LLC reserves the right to verify your identity and event information at any time, to suspend or terminate your Organizer account if we determine you have violated these Terms or engaged in any fraudulent or harmful conduct, and to place holds on your payouts during dispute resolution proceedings.

Event Listings

Organizers are solely responsible for the accuracy and completeness of their Event listings. All event details — including title, description, date, time, location, ticket prices, refund policies, age restrictions, and any other relevant terms — must be accurate as of the time of publication and kept up to date.

Organizers agree that their Event listings will not:

  • Contain false, misleading, or fraudulent information;
  • Infringe any third party's intellectual property rights (including trademarks, copyrights, and rights of publicity);
  • Advertise illegal activities, products, or services;
  • Contain content that is defamatory, obscene, harassing, threatening, or otherwise objectionable;
  • Violate any applicable law, including laws related to ticket scalping, consumer protection, or deceptive advertising; or
  • Conflict with any applicable venue's own rules or restrictions.

Aethyra LLC does not endorse, guarantee, or take responsibility for any Event listed on the Platform. We are a marketplace — we connect Organizers and Attendees but are not a party to any agreement between them regarding the Event itself.

We reserve the right, in our sole discretion, to remove or decline to publish any Event listing that violates these Terms, applicable law, or our content guidelines, without prior notice and without liability to the Organizer.

Ticket Purchases

When you initiate a ticket purchase, the Platform places a temporary hold on the selected ticket inventory for up to 30 minutes to allow you to complete checkout. If you do not complete payment within this window, the hold expires and the tickets are released back to general inventory — no charge is made.

A purchase is complete and binding only upon confirmation of payment by our payment processor (Stripe). Upon successful payment, you will receive a confirmation email containing your QR-coded digital ticket(s) at the email address provided during checkout.

Availability: Ticket availability is not guaranteed until payment is confirmed. The Platform does not guarantee that tickets will remain available during the checkout process, even if initially shown as available.

Ticket Limits: Organizers may set a maximum number of tickets per order. You agree to honor these limits and not circumvent them through multiple transactions or multiple accounts.

All Sales Are Final: Unless otherwise required by law or expressly stated in the Event's refund policy, all ticket sales are final. See Section 10 for refund terms.

Guest Checkout

The Platform allows you to purchase tickets without creating an account ("Guest Checkout"). As a Guest Purchaser, you will be required to provide a valid name and email address. A unique access token will be generated and sent to your email address, which you may use to retrieve your tickets and order details.

Guest Purchasers are subject to these Terms in their entirety. By proceeding with Guest Checkout, you represent that you have read and agreed to these Terms. You acknowledge that, as a guest, you will have limited ability to manage your order through a persistent account, and that you are responsible for retaining the confirmation email and access token provided at checkout.

Aethyra LLC is not responsible for lost or inaccessible ticket confirmation emails resulting from incorrect email addresses provided during Guest Checkout, spam filtering, or other circumstances outside our control.

Pricing, Fees & Payment

Ticket Prices

Ticket prices are set by individual Organizers and are displayed in U.S. dollars (USD). Prices are subject to change at any time prior to the completion of your purchase. The price displayed during checkout is the final price for that transaction.

Platform Fee

Aethyra LLC charges Organizers a Platform Fee on each paid ticket transaction. The Platform Fee is currently up to 8% of the ticket subtotal for orders exceeding $10.00 USD. Organizers may configure whether this fee is absorbed by the organizer, passed to the buyer, or handled in another manner — each Event's fee configuration will be disclosed at checkout before you confirm your order.

Payment Processing Fees

Stripe payment processing fees apply to all transactions. Depending on the Organizer's fee configuration, these fees may be passed on to you at checkout or absorbed by the Organizer. The total amount charged to you — including any applicable Platform Fee and Stripe processing fee — will be clearly itemized and displayed before you confirm payment.

Free Events

For free events (no ticket price), no Platform Fee or Stripe processing fee is charged.

Payment Methods

Payments are processed by Stripe, Inc. We accept all major credit and debit cards and other payment methods made available by Stripe. By submitting a payment, you authorize Aethyra LLC and Stripe to charge your designated payment method for the total amount displayed at checkout.

Aethyra LLC does not store, process, or transmit your credit or debit card information. All payment data is processed directly by Stripe, which is PCI DSS Level 1 certified. By making a payment through the Platform, you also agree to Stripe's Terms of Service and Privacy Policy.

Currency and Taxes

All transactions on the Platform are in U.S. dollars (USD). Organizers are solely responsible for determining and collecting any applicable sales taxes, occupancy taxes, or other governmental charges associated with their Events. Aethyra LLC does not collect or remit taxes on behalf of Organizers, except as expressly required by applicable law.

Refunds & Cancellations

Organizer Refund Policies

Each Event's refund and cancellation policy is set by the Organizer and disclosed on the Event listing page prior to purchase. Attendees are responsible for reviewing the applicable refund policy before completing a purchase. By purchasing a ticket, you agree to the Organizer's stated refund policy.

Event Cancellation by Organizer

If an Organizer cancels an Event, attendees are generally entitled to a full refund of the ticket price paid (not including any non-refundable processing fees, unless otherwise specified). Aethyra LLC will use commercially reasonable efforts to process such refunds, but the Organizer bears primary responsibility for honoring refund obligations. Refunds are processed back to the original payment method and may take 5–10 business days to appear, depending on your bank or card issuer.

Event Postponement or Change

If an Organizer postpones, changes the date or location, or materially alters an Event, your refund rights (if any) are determined by the Organizer's refund policy. Aethyra LLC is not responsible for changes to Events made by Organizers, and we strongly encourage you to monitor event communications.

Platform Fees and Processing Fees

Platform Fees and Stripe payment processing fees are generally non-refundable, except where an Event is cancelled by the Organizer and the Organizer's refund policy provides for a full refund, or where required by applicable law.

How to Request a Refund

Refund requests must be submitted to the Event Organizer directly through the Platform or other contact information provided by the Organizer. Aethyra LLC may, in its sole discretion, facilitate refund disputes between Attendees and Organizers and may issue refunds in cases of Organizer non-compliance, but is not obligated to do so.

Chargebacks & Disputes

If you believe an unauthorized charge has occurred, please contact us at info@seatium.co before initiating a chargeback with your card issuer. Many concerns can be resolved quickly through our support team.

Fraudulent or Unwarranted Chargebacks: Initiating a chargeback for a charge that was valid and authorized by you constitutes a breach of these Terms. In the event of a chargeback, Aethyra LLC and the Organizer reserve the right to contest the dispute using all available information, including your order details, checkout fingerprint, IP address, and payment confirmation records. If a chargeback is found in your favor despite having received and used valid tickets, you may be permanently banned from the Platform and we may pursue collection of the disputed amount through available legal remedies.

Organizers are responsible for maintaining accurate records to support chargeback disputes and for responding promptly to dispute inquiries from Aethyra LLC.

QR Code Tickets & Check-In

Upon successful purchase, the Platform issues digital tickets containing unique QR codes. Each QR code is single-use — once scanned and validated at an Event, it is marked as used and cannot be used for re-entry unless the Organizer explicitly permits re-entry.

Your Responsibility: You are responsible for safeguarding your QR code tickets and not sharing them with others (except as part of an intentional ticket transfer). Aethyra LLC is not responsible for tickets that are lost, stolen, forwarded to others, or compromised as a result of your actions.

Ticket Transfers: Ticket transferability is governed by the Organizer's Event settings. Some Events may restrict ticket transfers. Do not purchase tickets from unofficial third-party resellers — we cannot guarantee the validity of tickets obtained outside the Platform.

Ticket Scalping and Unauthorized Resale: The unauthorized commercial resale of tickets (scalping) above face value may be prohibited by applicable state law. You agree not to use the Platform to facilitate unauthorized ticket scalping in violation of any applicable law, and you agree that any such activity constitutes a material breach of these Terms and may result in immediate account termination and cancellation of all associated tickets.

Age-Restricted Events

Some Events listed on the Platform may have minimum age requirements (for example, 18+ or 21+) set by the Organizer. Such restrictions are disclosed on the Event listing page. By purchasing a ticket to an age-restricted Event, you represent that you meet the stated age requirement. The Organizer has the right to deny admission to any individual who fails to provide valid government-issued identification confirming their age, and no refund will be issued in such circumstances unless required by applicable law or the Organizer's refund policy.

Aethyra LLC does not independently verify the age of Attendees for restricted Events and relies on Organizers to enforce their own age requirements. Aethyra LLC assumes no liability for an Organizer's failure to enforce age restrictions.

Communications

Transactional Emails

By creating an account or making a purchase on the Platform, you consent to receiving transactional emails related to your account or order. These include order confirmations, ticket delivery, event reminders, and important account notifications. Transactional emails are essential to the Platform's service and cannot be opted out of while your account remains active.

Marketing Emails

From time to time, we may send you promotional emails about new features, events, or offers. You may opt out of marketing emails at any time by clicking the "unsubscribe" link in any such email or by contacting us at info@seatium.co. We will process your opt-out within a commercially reasonable time (generally within 10 business days).

Organizer Email Campaigns

Organizers may send email campaigns to their event attendees through the Platform's built-in campaign tool. By purchasing a ticket to an Organizer's Event, you may receive emails from that Organizer in connection with the Event. Organizers must comply with the CAN-SPAM Act and all applicable anti-spam laws. If you receive unwanted communications from an Organizer, you may opt out through the unsubscribe mechanism provided in those communications. Persistent unwanted contact by an Organizer should be reported to us at info@seatium.co.

Prohibited Conduct

You agree not to, and will not facilitate or assist others to:

  • Violate any applicable federal, state, or local law or regulation;
  • Use the Platform for any fraudulent, deceptive, or unlawful purpose, including creating fraudulent Event listings, submitting false payment information, or misrepresenting your identity;
  • Engage in unauthorized ticket scalping, bulk ticket purchasing for resale purposes, or the use of bots, scripts, or automated tools to circumvent ticket purchase limits or availability controls;
  • Harvest or scrape personal information about other Users without their express consent;
  • Transmit unsolicited commercial communications (spam) through the Platform;
  • Attempt to gain unauthorized access to any part of the Platform, other User accounts, or our infrastructure (including penetration testing without our prior written permission);
  • Introduce viruses, malware, ransomware, or any other harmful code to the Platform;
  • Engage in any conduct that could damage, disable, overburden, or impair the Platform, including denial-of-service attacks;
  • Reverse engineer, decompile, or disassemble any part of the Platform;
  • Use the Platform to transmit content that is defamatory, obscene, hateful, threatening, or that infringes on any third party's rights; or
  • Use the Platform in any manner that violates these Terms or our posted policies and guidelines.

Aethyra LLC reserves the right to investigate suspected violations of these prohibitions and, where warranted, to suspend or terminate accounts, cancel orders and tickets, withhold payouts, and cooperate with law enforcement authorities.

User-Generated Content

The Platform may allow you to upload or submit Content, including event descriptions, cover images, organization logos, and profile photos ("User Content"). You retain ownership of your User Content. By submitting User Content to the Platform, you grant Aethyra LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, publish, display, and distribute your User Content solely in connection with operating, promoting, and improving the Platform.

By submitting User Content, you represent and warrant that:

  • You own the User Content or have all rights, licenses, and permissions necessary to grant the license above;
  • Your User Content does not infringe or misappropriate any third party's intellectual property, privacy, or publicity rights;
  • Your User Content is not false, misleading, defamatory, obscene, hateful, threatening, or otherwise unlawful; and
  • Your User Content does not contain viruses or other harmful code.

We are not obligated to monitor, review, or moderate User Content, but reserve the right to remove any User Content that violates these Terms or applicable law, without notice and without liability to you.

Intellectual Property

The Platform, including its design, software, code, text, graphics, logos, trademarks, and service marks (collectively, "Seatium IP"), is owned by or licensed to Aethyra LLC and is protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use the Seatium name, logo, or other Seatium IP without our prior written consent.

Subject to these Terms, Aethyra LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes as a personal, non-commercial User. You may not copy, reproduce, distribute, create derivative works from, publicly perform, or publicly display any portion of the Platform or Seatium IP without our prior written permission.

If you believe that content on the Platform infringes your copyright, please contact us at legal@seatium.co with sufficient information for us to investigate and respond to your claim. We comply with the Digital Millennium Copyright Act (DMCA) and will act expeditiously to remove or disable access to infringing content upon receipt of a valid takedown notice.

Third-Party Services

The Platform integrates with and relies upon certain third-party services to deliver its features, including Stripe (payment processing), PostHog (product analytics), Mailgun (email delivery), and Amazon Web Services (cloud storage). Your use of the Platform may be subject to additional terms and conditions imposed by these third-party service providers. By using the Platform, you acknowledge that Aethyra LLC is not responsible for the availability, accuracy, policies, or conduct of any third-party service.

The Platform may also contain links to third-party websites or resources. These links are provided for convenience only. Aethyra LLC does not endorse, control, or assume responsibility for any third-party websites or their content. You access third-party websites at your own risk.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AETHYRA LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AETHYRA LLC DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY ERRORS OR DEFECTS IN THE PLATFORM WILL BE CORRECTED; (C) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (D) RESULTS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE OR RELIABLE.

AETHYRA LLC DOES NOT ENDORSE, GUARANTEE, OR TAKE RESPONSIBILITY FOR ANY EVENTS, ORGANIZERS, VENUES, OR OTHER THIRD PARTIES LISTED OR ACCESSIBLE THROUGH THE PLATFORM. YOUR ATTENDANCE AT ANY EVENT IS AT YOUR OWN RISK.

Some states do not allow the exclusion of implied warranties, so the above exclusions may not apply to you to the extent prohibited by applicable law.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AETHYRA LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF AETHYRA LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AETHYRA LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO AETHYRA LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO YOUR CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND AETHYRA LLC. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Aethyra LLC, its affiliates, licensors, and service providers, and each of their respective officers, directors, members, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Platform (other than as expressly authorized by these Terms);
  • Your User Content, including any claim that your User Content infringes the intellectual property or other rights of a third party;
  • Your Event listings or the conduct of your Events (if you are an Organizer); or
  • Your violation of any applicable law or the rights of another person or entity.

Aethyra LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

Dispute Resolution

IMPORTANT: Please read this section carefully.

This section contains a binding arbitration agreement and a class action waiver that affect your legal rights. Unless you opt out as described below, you and Aethyra LLC agree to resolve all disputes through binding individual arbitration rather than in court.

Informal Resolution First

Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting us at legal@seatium.co with a written description of your claim. We will attempt to resolve the dispute within 30 days. If we cannot reach a resolution within that period, either party may proceed to arbitration as set forth below.

Binding Arbitration

YOU AND AETHYRA LLC AGREE THAT ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM — including disputes about the existence, validity, interpretation, enforceability, or breach of these Terms — will be resolved exclusively by binding individual arbitration, rather than in a court, except for matters described in the "Exceptions" section below.

Arbitration will be conducted by JAMS, Inc. ("JAMS") under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims of $250,000 or more), as applicable, and subject to JAMS' Consumer Arbitration Minimum Standards. You may obtain information about JAMS and its rules at jamsadr.com.

The arbitration will be conducted in English. If your claim is for $10,000 or less, you may elect to have the arbitration conducted by telephone, online, or based solely on written submissions. For larger claims, the location of arbitration will be determined in accordance with JAMS rules. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Costs of Arbitration: JAMS filing fees will be paid in accordance with JAMS rules. If your claim is for $10,000 or less and you prevail, we will reimburse your filing fee. If we initiate arbitration against you, we will pay all JAMS filing fees.

Class Action Waiver

YOU AND AETHYRA LLC EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED ARBITRATION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. All disputes must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of class or representative proceeding.

Exceptions

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Opt-Out Procedure

You may opt out of this arbitration agreement within 30 days of first agreeing to these Terms by sending a written notice to legal@seatium.co with the subject line "Arbitration Opt-Out" and including your name, account email address, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provisions of these Terms. If you opt out, disputes will be resolved in accordance with the Governing Law section below.

Severability of Arbitration Agreement

If any portion of this arbitration agreement (other than the class action waiver) is found to be unenforceable, the remaining portions will remain in full force and effect. If the class action waiver is found to be unenforceable, the entire arbitration agreement will be null and void, and the dispute will be resolved in court.

Governing Law

These Terms and any dispute arising out of or related to them or the Platform will be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles.

For disputes not subject to binding arbitration under Section 22 (or where the arbitration agreement is unenforceable or the parties have opted out), each party irrevocably submits to the exclusive jurisdiction of the state and federal courts located in Fairfax County, Virginia, and waives any objection to the laying of venue of any such proceeding in those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Termination

Termination by You

You may close your account at any time by contacting us at info@seatium.co. Closing your account does not automatically entitle you to a refund for any pending transactions.

Termination by Aethyra LLC

Aethyra LLC may suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including for violation of these Terms, suspected fraudulent or harmful activity, or for any other reason in our sole discretion. We will use commercially reasonable efforts to notify you in advance where feasible, but are not required to do so.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 16, 17, 19, 20, 21, 22, and 23) will continue to apply.

Effect on Tickets and Payouts

If your Organizer account is terminated for cause, any pending or future payouts may be withheld pending resolution of outstanding disputes, refund obligations, or legal investigations. Tickets already sold to Attendees remain valid unless the underlying Event is cancelled, in which case refund obligations continue to apply.

Modifications to Terms

Aethyra LLC reserves the right to modify these Terms at any time. We will provide notice of material changes by sending an email to your registered email address, by posting a prominent notice on the Platform, or by updating the "Last Updated" date at the top of this page. For non-material changes, we may update the Terms without additional notice.

Your continued use of the Platform after any modification to these Terms constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform.

Miscellaneous

Entire Agreement: These Terms (including our Privacy Policy and any additional terms for specific services) constitute the entire agreement between you and Aethyra LLC regarding your use of the Platform and supersede all prior and contemporaneous negotiations, agreements, and understandings.

Severability: If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. Aethyra LLC may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Notices: Notices to you will be made via email to the address on your account or via posting on the Platform. Notices to us must be sent to legal@seatium.co or by physical mail to our registered address.

Force Majeure: Aethyra LLC will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, pandemics, government actions, civil unrest, or failures of third-party services.

Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version will control.
